Terms of Service

These Terms of Service (“Terms”) govern your access to and use of tickr - the tickr Chrome extension, website, advertiser dashboard, ad network, and related services (together, the “Service”), operated by tickr (“tickr”, “we”, “us”). By using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
tickr is a crypto-native advertising network for AI wait-time. Publishers run the tickr Chrome extension, which can replace a supported AI chat's temporary thinking line with one clearly labelled sponsored line. Advertisers fund campaigns in USDC, create active browser-slot creatives, and the highest eligible funded campaign fills each line. Revenue is split 50/50 between the Publisher and tickr and settled in USDC on the Base network. Optional native or SDK surfaces may be offered separately.
2. Eligibility
You must be at least 18 years old and able to form a binding contract. You may not use the Service where prohibited by law, or if you are subject to sanctions or located in a sanctioned jurisdiction.
3. Accounts & Wallet
You sign in with Google through Coinbase Developer Platform (CDP) Embedded Wallets, which provisions a self-custodial Coinbase Smart Wallet on Base. You are solely responsible for your wallet, its keys, and all activity under your account. We never take custody of your private keys. Notify us promptly of any unauthorized use.
4. Publishers (earning)
As a Publisher, you authorize tickr to request and serve a sponsored line in supported AI chat interfaces while a response is generating. You earn 50% of metered revenue, accrued in USDC and withdrawable to your wallet, subject to a minimum threshold, available funds, and network conditions. You are responsible for complying with the terms of the AI services and browsers where you use the extension.
5. Advertisers (funding)
As an Advertiser, you fund campaigns by depositing USDC into the tickr treasury from your wallet; deposits credit your off-chain advertiser balance 1:1. Campaigns serve only when they are active, have an active creative for the requested slot, and have enough remaining campaign budget and advertiser balance to pay for the impression. Impressions and clicks are metered server-side against that balance (a click is weighted at 50× an impression). Metered spend is final and non-refundable. You are responsible for the legality and accuracy of your creatives and destination URLs.
6. Acceptable Use
You agree not to:
- generate fake or fraudulent impressions or clicks, or manipulate the auction;
- submit unlawful, deceptive, infringing, malicious, or adult content;
- interfere with, or attempt to reverse-engineer, the metering or settlement systems;
- use the Service to launder funds or evade sanctions; or
- violate any applicable law.
We may suspend or remove campaigns, surfaces, or accounts that violate these Terms.
7. Payments & Settlement
All amounts are denominated in USDC on Base. During testing, the Service may operate on the Base Sepolia test network with test tokens that have no monetary value. On-chain transfers are final and irreversible; there are no chargebacks. You are responsible for any taxes arising from your use of the Service.
8. $TICKR Token
Any reference to a $TICKR token, buyback, or related mechanism describes a planned or experimental feature. It is not an offer or solicitation to buy or sell a security or any financial instrument, and not a promise of value, profit, or return. Token mechanics may change or never launch. Nothing in the Service is financial, investment, legal, or tax advice.
9. Intellectual Property
tickr's marks, site content, browser extension, dashboard, and ad-network software are owned by tickr or its licensors. You receive a limited, revocable, non-exclusive license to use the Service as intended. Third-party open-source notices, where applicable, remain governed by their respective licenses.
10. Third-Party Services
The Service relies on third parties including Coinbase Developer Platform, Google sign-in, and the Base blockchain. Your use of those services is subject to their own terms; we are not responsible for them.
11. Disclaimers
The Service is provided “as is” and “as available,” without warranties of any kind. We do not warrant uninterrupted or error-free operation, the value or availability of any token, or the security of any blockchain. Cryptocurrency and smart-contract use carries inherent risk, including total loss.
12. Limitation of Liability
To the maximum extent permitted by law, tickr will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or tokens. Our aggregate liability for any claim will not exceed the greater of the amounts you paid to, or earned from, tickr in the three months before the claim, or US$100.
13. Indemnification
You will indemnify and hold tickr harmless from claims arising out of your content, your use of the Service, or your breach of these Terms.
14. Termination
You may stop using the Service at any time. We may suspend or terminate access for any violation of these Terms or to comply with law. Accrued, withdrawable balances remain yours, subject to these Terms.
15. Changes
We may update these Terms; material changes are reflected by the “last updated” date above. Continued use after changes constitutes acceptance.
16. Governing Law
These Terms are governed by the laws of tickr's principal place of business, without regard to conflict-of-laws rules. Any dispute will be resolved as set out here or as required by applicable law.
